Job Opportunity: Legal Counsel ENERTRAG

Position: Legal Counsel (Legal/ Company Secretary/Bid Preparation)
Location: Pretoria/Johannesburg, South Africa (Cape Town may be considered)

ENERTRAG South Africa is a medium sized renewable energy developer and is a subsidiary of ENERTRAG AG, an independent energy company in Germany and France. We are looking to employ an experienced legal counsel – this is a growth opportunity and you will be directly responsible for growing the business by adapting to the changing phases and demands of various project lifecycles.

Key Roles and Responsibilities:

1. Legal / Corporate Counsel

• Contract drafting, review and negotiation e.g. Memoranda of Understanding/Agreement, Non-disclosure agreements, Sales/Purchase of Shares agreement, Partnership agreements, employment contracts, etc.
• Provision of ad-hoc legal advice/opinions to internal business units,
• Coordination of activities for general legal & corporate compliance,
• Coordination of instructions to external legal counsel, as agreed,
• Liaise with Legal Department in Germany on all legal matters

2. Company Secretarial support

• Ensure compliance of ENERTRAG South Africa (Pty) Ltd with relevant local legislation, including specifically the Companies Act,
• Act as liaison between external firm/s providing administrative support in keeping company records, documentation and minutes up-to-date,
• Advise on the appropriate governance of the Board and/or Trust(s) in accordance with applicable legislation and founding documentation

3. B-BBEE and ED support

• Advise on B-BBEE strategy and implementation plan, highlighting key risks and appropriate mitigating action,
• Give input to Economic Development (ED) indicators in RFPs/RFIs including job creation, preferential procurement, socio-economic development (SED), enterprise and supplier development (EnD) and ownership

4. Bid Preparation Management

• Ensure bid-completeness and compliance aligned to bid criteria
• Preparation of bid-pack

Qualifications:

• ­Three-year related qualification in Commerce or Legal field
• Post-graduate qualification preferred
• Three-year related experience

Requirements:

• ­ Business fluent in English, another South African official language and German are a plus
• Attention to detail and problem-solving ability
• Ability to work in, and support team to achieve project objectives
• Strong written and oral communication skills
• Self-motivation and a proactive attitude to work
